1. ACCEPTANCE OF TERMS

By accessing or using FoodRunz (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Platform.

These Terms apply to all users including Vendors, Drivers, and general platform visitors.

2. DESCRIPTION OF SERVICES

FoodRunz provides delivery logistics services, including:

  • Driver coordination and matching via the AI Driver Scheduler™
  • Delivery routing and shift scheduling
  • Vendor-driver matching and assignment
  • DriverPay™ automated compensation reconciliation and nightly settlement
  • Driver Academy™ mandatory certification training
  • Vendor Academy™ training and Knowledge Center
  • Analytics, reporting, and operational tools
  • POS qualification gate for vendor onboarding

FoodRunz does not prepare food, sell food, or act as a food marketplace. FoodRunz is not a restaurant.

3. USER TYPES

FoodRunz serves three categories of users:

  • Vendors — restaurants, food trucks, and food businesses using FoodRunz for delivery logistics
  • Drivers — independent contractors who fulfill deliveries through the platform
  • Platform Users — general visitors accessing informational content

Each user type is subject to additional agreements. See the Vendor Agreement and Driver Agreement for details.

4. VENDOR TERMS

4.1 Qualification & Approval

Not every business that applies is approved. FoodRunz uses an automated AI scorecard to evaluate each application based on revenue, operational fit, driver capacity, POS system compatibility, and risk factors.

Qualification criteria include:

  • A compatible POS system (Square, Clover, Toast, or Owner.com) — required for DriverPay™ reconciliation
  • Sufficient delivery volume to justify a dedicated driver assignment
  • Operational readiness including proper packaging and pickup environment
  • Compliance with FoodRunz vendor conduct standards
  • Market and driver availability in the vendor's region

Qualified businesses may receive instant approval. Others are reviewed manually within 48 hours. Applying does not guarantee approval. Businesses without a compatible POS system do not qualify for FoodRunz dedicated delivery drivers.

4.2 POS System Requirement

A compatible POS (point-of-sale) system is a mandatory qualification gate. Vendors must use one of the following supported systems:

Square, Clover, Toast, or Owner.com.

The POS system is required for DriverPay™ automated compensation reconciliation. Vendors must configure the $3.99 delivery fee in their POS and verify tip reporting. Vendors using unsupported or no POS systems will not be approved until a compatible system is operational.

4.3 Subscription Model

Vendors subscribe to a flat-rate delivery infrastructure plan. Subscription pricing, delivery allocations, and driver capacity are defined in the Vendor Agreement.

4.4 Delivery Allocation

Each plan includes a defined monthly delivery allocation.

If a Vendor exceeds its allocation:

  • Delivery blocks may be purchased, or
  • Plan upgrades may be required.

FoodRunz reserves the right to enforce allocation thresholds.

4.5 Driver Compensation (DriverPay™)

Vendors pay drivers directly. FoodRunz does not process or intermediate driver compensation. The DriverPay™ system governs how compensation flows:

  • Standard Deliveries: Vendor configures a $3.99 delivery fee in their POS, paid to the driver at shift end
  • Customer Gratuities: All tips must be paid to the driver via Venmo at the end of every shift — no exceptions
  • Catering/Events: Driver compensation is a pre-negotiated flat fee built into the order total, paid at shift end
  • Nightly Settlement: DriverPay™ reconciles POS orders and settles eligible payouts to drivers nightly via Stripe Connect
  • Driver Academy™: Every driver must complete mandatory certification before receiving payouts — settlements are held until certification is complete

Withholding or delaying driver compensation — regardless of reason — is a serious violation and grounds for immediate account suspension.

4.6 Payment Obligations

Vendors agree to:

  • Pay monthly subscription fees
  • Pay overage block fees (if applicable)
  • Configure and maintain the $3.99 delivery fee in their POS
  • Pay all driver compensation in full at shift end
  • Maintain valid payment information

Failure to pay may result in suspension.

4.7 Vendor Conduct

Vendors must:

  • Treat drivers with professionalism and respect
  • Provide safe working conditions
  • Disclose additional labor tasks requiring compensation
  • Pay all driver compensation in full at shift end
  • Comply with local laws

Abuse, harassment, or unsafe conditions may result in suspension or termination.

5. DRIVER TERMS

5.1 Independent Contractor Status

Drivers are independent contractors, not employees of FoodRunz or Vendors.

Drivers:

  • Control which shift requests they accept
  • Provide their own vehicles and equipment
  • Are responsible for their own taxes

FoodRunz does not guarantee wages or minimum earnings.

5.2 Compensation (DriverPay™)

Driver compensation is governed by the DriverPay™ system. Drivers are paid directly by vendors — FoodRunz does not process or intermediate compensation:

Standard Deliveries: $3.99 per delivery (from the vendor's POS delivery fee) paid at shift end, plus 100% of customer gratuities paid via Venmo at shift end

Catering/Events: Pre-negotiated flat fee built into the order total, paid at shift end

Nightly Settlement: DriverPay™ reconciles eligible completed deliveries and settles payouts nightly via Stripe Connect

Driver Academy™ Certification: Mandatory — payouts are held until the driver completes Academy certification and passes the certification quiz

Drivers must maintain an active Stripe Connect account to receive settlements. Tip withholding by vendors is a serious violation and must be reported immediately.

5.3 Compliance & Certification

Drivers must:

  • Maintain valid licenses and insurance
  • Complete background screening
  • Complete mandatory Driver Academy™ certification training and pass the certification quiz before serving any vendor
  • Maintain an active Stripe Connect account for DriverPay™ nightly settlements
  • Comply with all applicable laws

Driver payouts are held until Driver Academy™ certification is complete. Uncertified drivers cannot receive settlements or serve vendors.

6. CONSUMER TERMS

Consumers access vendor listings for informational purposes.

FoodRunz:

  • Does not process food orders (unless explicitly stated)
  • Does not control vendor pricing
  • Does not guarantee food quality
  • Does not collect food payments on behalf of vendors

Consumers transact directly with vendors.

7. EQUIPMENT EDITION TERMS

Equipment Edition services provide structured logistics coordination.

FoodRunz:

  • Is not a freight carrier
  • Does not manufacture equipment
  • Is not responsible for equipment defects

Delivery weight thresholds and handling requirements are defined in vendor agreements.

Additional surcharges may apply for heavy or specialty equipment.

8. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

FoodRunz shall not be liable for:

  • Food quality
  • Vendor misconduct
  • Driver misconduct outside scope of services
  • Equipment defects
  • Indirect or consequential damages
  • Lost profits

Maximum liability shall not exceed the amount paid to FoodRunz in the prior 3 months.

9. DISPUTE RESOLUTION

All disputes arising from use of the FoodRunz platform shall be resolved through binding arbitration in the user's registered state.

Users waive the right to:

  • Jury trials
  • Class action lawsuits
  • Consolidated arbitration proceedings

Arbitration shall be conducted under AAA Commercial Arbitration Rules. Small claims court disputes are exempt.

10. INTELLECTUAL PROPERTY

All FoodRunz branding, logos, dashboards, and proprietary systems are the intellectual property of FoodRunz.

Unauthorized reproduction is prohibited.

11. TERMINATION

FoodRunz may suspend or terminate accounts for:

  • Non-payment
  • Policy violations
  • Fraud
  • Abuse
  • Unsafe conduct

Vendors and Drivers may terminate pursuant to their agreements.

12. MODIFICATIONS

FoodRunz may update these Terms at any time. Continued use constitutes acceptance.

13. GOVERNING LAW

These Terms are governed by the applicable laws of the United States and the state in which the Vendor, Driver, or user is registered or primarily operates.
