Vendor Agreement
FoodRunz Platform — Vendor Terms
Effective Date: 2025 | Last Updated: 2026
1. Services
Vendor agrees to use FoodRunz for delivery logistics support, including driver coordination, shift scheduling, and route optimization.
2. Vendor Responsibilities & POS Qualification
Vendor must:
A compatible POS system (Square, Clover, Toast, or Owner.com) is a mandatory qualification gate. Vendors without a compatible POS system do not qualify for FoodRunz dedicated delivery drivers. The POS system is required for DriverPay™ automated compensation reconciliation.
- Maintain a compatible POS system (Square, Clover, Toast, or Owner.com)
- Configure the $3.99 delivery fee in their POS and verify tip reporting
- Have orders ready on time for driver pickup
- Ensure proper packaging for all deliveries
- Provide accurate order details to drivers
- Maintain a clean, safe, and accessible pickup environment
Vendors using unsupported or no POS systems will not be approved until a compatible system is operational. Not every business that applies is approved — applications are scored automatically and reviewed within 48 hours.
3. Driver Treatment
Vendor must:
- Treat all drivers with professionalism, courtesy, and respect
- Avoid any form of harassment, discrimination, or abusive behavior
- Provide safe, accessible pickup conditions at all times
- Not assign drivers tasks outside of delivery without advance notice and additional compensation
4. Delivery Standards
Vendor agrees to:
- Maintain agreed-upon preparation timing to minimize driver wait times
- Meet quality and accuracy standards for all orders
- Minimize delays that impact driver shifts and customer satisfaction
- Notify FoodRunz in advance of any operational changes affecting delivery
5. Fees & Billing
Vendor agrees to:
- Pay monthly subscription fees as outlined in their selected plan
- Pay any applicable overage charges for deliveries exceeding plan limits
- Be responsible for all applicable taxes and processing fees
- Maintain valid payment information on file
Failure to pay within the billing period may result in service suspension.
6. Driver Compensation (DriverPay™)
FoodRunz DriverPay™ automates driver compensation through POS reconciliation and nightly settlement. Vendors do not pay drivers manually — all compensation flows through the DriverPay™ system:
Standard Deliveries (Restaurants, Food Trucks, Retail):
Vendor configures the $3.99 delivery fee in their POS. DriverPay™ AI reconciles each delivery against POS order data and settles the delivery fee to the driver nightly via Stripe Connect. Customer gratuities are verified against POS data and allocated 100% to the driver in the nightly settlement. No manual Venmo or cash tip-outs.
Catering Companies:
Driver compensation is a pre-negotiated flat fee agreed before the job and built into the order total. DriverPay™ settles this fee to the driver automatically at shift end through nightly settlement.
Nightly Settlement & Driver Academy™:
DriverPay™ reconciles POS orders nightly and settles eligible payouts to drivers via Stripe Connect. Every driver must complete mandatory Driver Academy™ certification before receiving payouts — settlements are held until certification is complete.
- Configure and maintain the $3.99 delivery fee in your POS
- Maintain POS integration access for DriverPay™ reconciliation of delivery fees and gratuities
- For catering: agree on driver fee before the job — DriverPay™ settles it automatically
- Never interfere with POS data, disable the delivery fee, or block DriverPay™ reconciliation
Interfering with POS data, disabling the delivery fee, or obstructing DriverPay™ reconciliation is a serious violation and grounds for immediate account suspension. Vendors must maintain a funded DriverPay reserve for nightly settlements.
7. Violations & Consequences
Violations of this agreement may result in:
- Written warning and mandatory conduct review meeting
- Temporary restrictions on driver assignment
- Service suspension pending investigation
- Permanent account termination with no refund
8. Liability
Vendor is solely responsible for:
- Food quality, safety, and preparation
- Packaging integrity and accuracy
- Order accuracy and completeness
- Any claims arising from food-related issues
FoodRunz is a logistics coordination platform and is not liable for food quality or vendor-related issues.
9. Termination
FoodRunz reserves the right to terminate this agreement and suspend service at any time due to policy violations, safety concerns, non-payment, or repeated driver mistreatment.
Vendors may terminate their subscription pursuant to the terms of their billing agreement.
